TERMS & CONDITIONS – RETURN AND REJECTION POLICY

ACCEPTANCE:
All orders are subject exclusively to these Terms. Acceptance of goods constitutes acceptance of these
Terms, which supersede all other terms unless agreed in writing by Seller.
PRICES & TAXES:
Prices are F.O.B. Seller’s facility. Risk of loss passes to Buyer upon delivery to carrier. Buyer is responsible for all applicable taxes.
PAYMENT:
Payment terms are as stated on the invoice and are strictly enforced. Payment is due in full without offset or delay. Seller may suspend shipments or orders on past-due accounts.
DELIVERY:
Delivery dates are estimates only. Seller is not liable for delays beyond its control. Buyer is responsible for charges caused by delivery delays requested by Buyer.
INSPECTION & ACCEPTANCE:
Buyer must inspect goods promptly upon receipt. Any rejection or claim of nonconformity must be submitted in writing within a reasonable time. Failure to do so constitutes acceptance.
RETURNS:
No returns are accepted without prior written authorization. Unauthorized returns will be refused. Seller may repair, replace, or refund at its sole discretion.
CANCELLATION:
Orders may not be cancelled without Seller’s written consent. Approved cancellations are subject to a minimum 10% charge plus incurred costs.
WARRANTY:
Seller disclaims all express or implied warranties, including merchantability and fitness for a particular purpose.
LIMITATION OF LIABILITY:
Seller’s liability is limited to repair, replacement, or refund of purchase price. No indirect or consequential damages.
GOVERNING LAW:
Maryland law governs. Venue and jurisdiction shall be in the State of Maryland, USA.
MODIFICATION:
No modification is binding unless in writing and signed by an authorized officer of Seller.
